NOTICE IS HEREBY GIVEN that the Mississippi Hospital Equipment and Facilities Authority (the "Authority") will hold a public hearing on April 28, 2025 at one o'clock (1:00) p.m. at the offices of the Authority, 116 Woodgreen Drive, Madison, Mississippi 39110, to hear any comments or objections to the issuance, sale and delivery of the captioned issue of refunding revenue bonds, in one or more series (the "Bonds" or "Series 2025C Bonds").
The Bonds are proposed to be issued by the Authority in one or more series pursuant to a plan of finance in an aggregate principal amount not exceeding One Hundred Forty Million Dollars ($140,000,000). The proceeds of the Bonds are to be loaned by the Authority to Ochsner Clinic Foundation, a Louisiana nonprofit corporation exempt from federal income taxation under Section 501(a) of the Internal Revenue Code of 1986, as amended (the "Code"), as an organization described under Section 501(c)(3) of the Code (the "Foundation"). The Foundation will use the proceeds of the Bonds for the purpose of (1) refinancing and prepaying the Non-Revolving Note issued to finance the acquisition of Rush Health Systems, Inc., located at the addresses listed in Exhibit A hereto (the "Non-Revolving Note"), (2) creating or maintaining a debt service reserve fund in connection with the Bonds and (3) paying certain expenses incurred in connection with the issuance of the Series 2025C Bonds.
The exclusive owner, operator and manager of the foregoing facilities is the Foundation or an affiliate thereof.
Ms. Sheila Wood, Secretary of the Authority, will conduct the public hearing for the purpose of receiving comments on and hearing any objections (verbal or written) to the proposed issuance of the Bonds and the associated plan of finance. All interested parties are invited to attend such public hearing to express their views.
Persons who intend to appear at the hearing and express their view are invited to contact Ms. Wood at the Authority's offices, either in writing at swood@mhanet.org or by telephone (601-368-3205), in advance of the hearing. Any interested persons unable to attend the hearing may submit their views in writing to the Authority prior to the date scheduled for the hearing. The location and time of the hearing may be changed or an additional hearing will be scheduled if requested to do so in written requests submitted to Ms. Wood prior to the aforementioned date of the hearing by a significant number of interested persons.
Neither the faith and credit nor the taxing power of the State of Mississippi or any political subdivision thereof is pledged to the payment of the principal of or the interest on the Bonds.
This notice is published and the aforementioned public hearing is to be held in satisfaction of the requirements of Section 147(f) of the Internal Revenue Code of 1986, as amended, regarding the public approval prerequisite to the exclusion from gross income for federal income tax purposes of the interest on the Bonds.
